All intellectual property rights in the software, code, designs, and other materials developed by Rightway Software as part of the Services (“Deliverables”) remain the property of Rightway Software unless otherwise agreed upon in writing. You are granted a non-exclusive, non-transferable license to use the Deliverables solely for your internal business purposes.

6. Confidentiality

Both parties agree to keep confidential any proprietary or confidential information disclosed during the course of the Services. This includes but is not limited to business plans, trade secrets, and technical information.

7. Limitation of Liability

To the maximum extent permitted by law, Rightway Software shall not be liable for any indirect, incidental, special, or consequential damages arising out of or relating to the Services, including but not limited to loss of profits, revenue, data, or use.

8. Termination

Either party may terminate the agreement for Services upon written notice if the other party breaches any material term of these Terms and fails to cure such breach within 30 days of receiving written notice.

9. Governing Law

These Terms and the agreement for Services shall be governed by and construed in accordance with the laws of [jurisdiction], without regard to its conflicts of law principles.
